1. Scope and Acceptance
These Terms & Conditions govern the relationship between Foundry Lex ("we", "us", "our") and any individual or entity ("you", "the participant") who enrols in or accesses any programme, session, or service offered by Foundry Lex, including the One-to-One Mentorship Engagement, the Quarterly Cohort Programme, and Founder Office Hours.
By making a payment, submitting an application, or attending a session, you confirm that you have read, understood, and agreed to these terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
These terms are subject to change. The version in effect at the time of your enrolment governs your engagement. Material updates will be communicated to active participants by email.
2. Programme Descriptions
Foundry Lex offers the following programmes as described on the website and in your enrolment confirmation:
One-to-One Mentorship Engagement — HKD 7,500
A six-month engagement comprising one structured intake call, twelve fortnightly working sessions, written session notes, and a closing reflection memo. The mentor is drawn from the Foundry Lex network and assigned based on the participant's stated focus areas. Session themes are set by the participant in advance of each session.
Quarterly Cohort Programme — HKD 5,800
A quarter-length programme for seven to ten participating teams, meeting fortnightly with rotating themes including product structure, customer conversation, operational discipline, fundraising mechanics as an organisational topic, and hiring as a design question. The programme concludes with a structured showcase day for invited reviewers. Cohort composition is at the discretion of Foundry Lex.
Founder Office Hours — HKD 1,200
A single ninety-minute working session with a Foundry Lex mentor on a specific question the participant brings. A short written follow-up note is provided following the session. Office Hours do not include ongoing access to mentors and carry no commitment to further engagement.
3. Payment
All fees are stated and payable in Hong Kong Dollars (HKD). Payment is due in full prior to the start of an engagement unless otherwise agreed in writing. Foundry Lex reserves the right to withhold access to sessions until payment is received and confirmed.
Payment methods and bank details are provided in the enrolment confirmation email. Receipts are issued upon request. If you require a formal invoice, please contact us at [email protected] before payment.
Where payment is made in a currency other than HKD, any foreign exchange costs or conversion fees are borne by the participant. The amount received in HKD must equal the programme fee stated at the time of enrolment.
4. Cancellation and Rescheduling
Cancellation by the participant
Cancellations made in writing at least fourteen calendar days before the scheduled start of an engagement will receive a full refund, less a HKD 300 administrative fee. Cancellations within fourteen days of the start date but before the first session will receive a 50% refund. No refund is available once the first session has taken place. For the Quarterly Cohort Programme, the same terms apply based on the date of the first cohort session.
Cancellation of individual sessions
Participants may reschedule an individual fortnightly session with at least 48 hours' notice. Sessions cancelled with less than 48 hours' notice or not attended without prior notice are forfeited without refund or replacement. Each engagement has a maximum of two rescheduled sessions.
Cancellation by Foundry Lex
Where Foundry Lex must cancel or postpone a programme due to circumstances outside our control, we will provide as much notice as practicable and offer a rescheduled date or a full refund of fees paid for the affected sessions. We are not responsible for any costs you incur in connection with a cancellation.
5. Confidentiality
Working sessions, written notes, and the content of mentor conversations are treated as confidential. Foundry Lex will not share the substance of a participant's sessions with other cohort members, sponsors, or external parties without the participant's explicit written consent.
Participants in the Quarterly Cohort Programme agree to treat information shared by other cohort teams during group sessions as confidential and not to disclose it outside the programme.
This obligation of confidentiality survives the conclusion of the engagement. It does not apply to information that is or becomes publicly available through no fault of either party, or that is required to be disclosed by applicable law or regulatory order.
6. Intellectual Property
Written session notes, follow-up memos, and the closing reflection memo produced by Foundry Lex in the course of an engagement are provided to the participant for their personal and internal business use. The participant retains full ownership of the underlying ideas, business concepts, and work product they bring to the programme.
Foundry Lex retains ownership of its programme materials, session frameworks, and any proprietary tools or templates used in the delivery of sessions. These materials may not be reproduced, shared, or adapted without our prior written consent.
Neither party acquires any ownership interest in the other party's intellectual property by reason of participating in or delivering the programme.
7. Limitation of Liability
Foundry Lex provides mentorship, structured conversation, and written notes. We do not provide legal advice, financial advice, accounting services, or any regulated professional service. Nothing shared in a Foundry Lex session constitutes professional advice of any kind, and participants should seek qualified independent advice on legal, financial, or technical matters relevant to their business.
To the fullest extent permitted by Hong Kong law, Foundry Lex's total liability to a participant arising out of or in connection with an engagement is limited to the fees paid by that participant for the relevant programme.
Foundry Lex is not liable for any indirect, consequential, or special loss, including loss of business, loss of data, or loss of anticipated outcome, arising from participation in or reliance on the programme.
8. Participant Conduct
Participants are expected to engage with the programme in good faith, to prepare for sessions in advance, and to treat mentors, Foundry Lex staff, and fellow cohort members with professional respect.
Foundry Lex reserves the right to remove a participant from a programme, without refund, if their conduct is disruptive, harmful, or inconsistent with the professional standards expected of the programme. This determination is at the sole discretion of Foundry Lex.
9. Governing Law and Disputes
These terms are governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Both parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any dispute arising out of or in connection with these terms or any programme engagement.
In the first instance, both parties agree to attempt to resolve any dispute informally by written communication to [email protected] before commencing formal proceedings.
10. General Provisions
If any provision of these terms is found to be unenforceable, it will be severed from the remaining provisions, which will continue in full force and effect. A waiver of any breach does not constitute a waiver of any subsequent breach.
These terms constitute the entire agreement between Foundry Lex and the participant with respect to the programme and supersede any prior communications or representations relating to the same subject matter.
